These Terms & Conditions (the "Terms") govern your access to and use of the procrewUSA website, applications, and services (together, the "Service"), operated by procrewUSA, Inc. ("procrewUSA", "we", "us", or "our"). By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

1. Who we are and what the Service does

procrewUSA is an online marketplace that connects customers who need construction and related trade work ("Clients") with independent subcontractors and crews ("Subcontractors"). Clients post jobs; Subcontractors submit bids; Clients may then pay to unlock a Subcontractor's contact details and arrange work directly. procrewUSA also provides tools such as in-app messaging and an estimates feature. procrewUSA is a neutral venue only. We are not a party to, and are not responsible for, any agreement, work, or payment between a Client and a Subcontractor.

2. Definitions

• "Account" means the registration that lets you access the Service.
• "Client" means a user who posts jobs or seeks Subcontractors.
• "Subcontractor" means a user who offers trade services and submits bids.
• "Content" means anything you submit, post, or upload through the Service, including job posts, bids, estimates, messages, profile details, and customer information.
• "Fees" means the amounts charged for paid features of the Service, such as unlocking a contact.

3. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract to use the Service.
• You agree to provide accurate, current information (including a valid email and, where required, a verifiable phone number) and to keep it up to date.
• You are responsible for all activity under your Account and for keeping your credentials confidential. Notify us promptly at security@procrewusa.com if you suspect unauthorized use.
• One person or business per Account unless we agree otherwise in writing. You may not share, sell, or transfer your Account.

4. License and acceptable use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You agree not to:

• reproduce, copy, resell, or exploit any part of the Service, including its interface, functionality, or visual design, without our written permission;
• reverse engineer, scrape, or access the Service by any automated means we did not provide;
• use the Service in any unlawful, deceptive, infringing, harassing, defamatory, obscene, or otherwise harmful way;
• upload malware, send spam or unsolicited messages, or attempt to circumvent security or usage limits;
• use the platform to solicit users off-platform for the purpose of avoiding Fees, or to post false, misleading, or fraudulent listings, bids, or reviews.

5. The marketplace — no guarantees, no endorsement

• procrewUSA facilitates connections. We do not assign, recommend, employ, supervise, or control any Subcontractor or Client, and no agency, partnership, or employment relationship is created between us and any user.
• We do not guarantee that a job will receive bids, that a suitable Subcontractor exists in your area, or that any work will meet your expectations.
• Bids, prices, and estimates shared through the Service are informational and are not binding contracts. A binding agreement is formed only directly between a Client and a Subcontractor, on their own terms.
• You are solely responsible for evaluating the other party, negotiating terms, and complying with your own contract and with applicable law.

6. Verification and screening

Phone verification helps confirm that a contact number is reachable; it is not a guarantee of identity, licensing, insurance, or fitness for any job. We do not independently verify licenses, certifications, insurance, or background information unless expressly stated for a given profile. You should confirm any license, insurance, or qualification directly with the Subcontractor and the relevant authorities before engaging them.

7. Estimates and customer information

The estimates feature lets Subcontractors create and send quotes to their own customers, who may accept and sign electronically. You are solely responsible for the accuracy of your estimates and for any customer information you enter, including obtaining any consent required to collect and share it. An electronic acceptance recorded through the Service reflects agreement between the Subcontractor and that customer; procrewUSA is not a party to it and makes no representation about its legal enforceability in your jurisdiction.

8. Fees, payments, and refunds

• Posting a job is free. Certain features carry Fees, such as unlocking a Subcontractor's contact details. Applicable Fees are shown before you are charged.
• Payments are processed by third-party providers (for example, Stripe). By paying, you authorize the charge to your selected payment method and agree to the processor's terms. We do not store full card numbers.
• All Fees are stated in U.S. Dollars and are exclusive of taxes, which are your responsibility where applicable.
• Except where required by law, Fees are non-refundable, including the contact-unlock Fee, which delivers value immediately upon unlock. Prices may change on prospective notice.

9. Your Content

You retain ownership of your Content. You grant procrewUSA a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your Content solely to operate, provide, and improve the Service. You represent that you have the rights necessary to submit your Content and that it does not violate any law or third-party right. We do not pre-screen Content but may remove or restrict Content or Accounts that we believe violate these Terms.

10. Suspension and termination

• You may stop using the Service and close your Account at any time.
• We may suspend or terminate access, with or without notice, if you materially breach these Terms, create a security risk, or use the Service unlawfully. Where practical and not urgent, we will give reasonable notice and an opportunity to cure.
• Sections that by their nature should survive termination (including Fees owed, disclaimers, limitation of liability, indemnification, and governing law) will survive.

11. Disclaimer of warranties

The Service and all content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. procrewUSA does not warrant that the Service will be uninterrupted, secure, or error-free, or that any result will be obtained from its use. Any dealings with, and any conduct of, other users are solely at your own risk.

12. Limitation of liability

To the maximum extent permitted by law, procrewUSA and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, goodwill, or data, arising out of or related to the Service or these Terms, even if advised of the possibility. procrewUSA's total aggregate liability for any claim will not exceed the greater of the Fees you paid to procrewUSA in the six (6) months before the event giving rise to the claim, or one hundred U.S. dollars (US$100).

13. Indemnification

You agree to defend, indemnify, and hold harmless procrewUSA and its officers, directors, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your Content, your use of the Service, your dealings with other users, or your breach of these Terms or of applicable law.

14. Third-party services

The Service may integrate with or link to third-party products and services (for example, payment or messaging providers). Your use of them is at your own risk and subject to their terms. procrewUSA is not responsible for third-party products or services.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email or an in-Service notice. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

16. Governing law and venue

These Terms are governed by the laws of the State of [GOVERNING STATE], without regard to its conflict-of-law rules. You and procrewUSA agree to the exclusive jurisdiction and venue of the state and federal courts located in [COUNTY / CITY, STATE] for any dispute not subject to arbitration, and the prevailing party in any action to enforce these Terms is entitled to recover reasonable costs and attorneys' fees.
